API License Agreement

1. DEFINITIONS
- “API” means the generative AI application programming interface and any accompanying documentation provided by Metex Labz Private Limited.
- “Licensee” means the individual or entity accessing and using the API.
- “License” means this API License Agreement.
- “Permitted Purpose” means using the API for personal, internal, or commercial purposes, but excluding any prohibited uses.
- “Prohibited Uses” means uses that are illegal, harmful, or infringe on the rights of others.
2. GRANT OF LICENSE
Metex Labz Private Limited grants the Licensee a non-exclusive, non-transferable, and non-sublicensable license to access and use the API for the Permitted Purpose.
3. LICENSE RESTRICTIONS
- The Licensee shall not:
- Use the API for Prohibited Uses.
- Reverse engineer, decompile, or disassemble the API.
- Sell, rent, lease, or transfer the API or its output.
- Remove or obscure any proprietary notices or markings.
- Exceed the API’s usage limits or quotas.
- Use the API in a way that harms or intends to harm Metex Labz Private Limited or its customers.
4. INTELLECTUAL PROPERTY
- The Licensee acknowledges that the API and its output are the exclusive property of Metex Labz Private Limited.
- The Licensee shall not claim ownership or intellectual property rights in the API or its output.
5. DATA PRIVACY
- The Licensee shall comply with applicable data protection laws and regulations, including but not limited to the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA).
- The Licensee shall not use the API to collect, store, or process personal data without consent.
6. TERM AND TERMINATION
- The License shall commence on the Effective Date and continue until terminated.
- Either party may terminate the License upon written notice to the other party.
- Upon termination, the Licensee shall cease using the API and destroy any copies.
7. WARRANTY DISCLAIMER
- The API is provided on an “as is” and “as available” basis, without warranties of any kind.
- Metex Labz Private Limited disclaims all warranties, express or implied.
8. LIMITATION OF LIABILITY
- In no event shall Metex Labz Private Limited be liable for any damages, including but not limited to incidental, consequential, or punitive damages.
- The Licensee shall indemnify Metex Labz Private Limited for any claims, damages, or expenses arising from the Licensee’s use of the API.
9. GOVERNING LAW
- This License shall be governed by and construed in accordance with the laws of the country where the Licensee is domiciled.
- Any disputes shall be resolved through arbitration in accordance with the rules of the International Chamber of Commerce (ICC).
10. ENTIRE AGREEMENT
- This License constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements.
- This License may not be amended or modified except in writing signed by both parties.
By accessing and using the API, the Licensee agrees to be bound by the terms and conditions of this License.
